Terms of Service

These terms govern the use of the website and services of PHV TECHNOLOGIES (PVT) LTD ("PHV", "we", "us"). By using our services you agree to them. Project work may also be covered by a separate written agreement or quotation; if so, that agreement takes priority.

1. Our services

We design, build and support software, hardware and interactive experiences, and provide PHV Connect, a service that lets businesses send and receive WhatsApp messages through the WhatsApp Business Platform.

2. Your account

• Give accurate information and keep your login details safe.
• You are responsible for activity under your account.
• Tell us straight away about any unauthorised use.

3. Using PHV Connect

• You must own, or be authorised to manage, the WhatsApp Business Account and phone number you connect.
• You must follow the WhatsApp Business Messaging Policy, the WhatsApp Commerce Policy and the Meta terms that apply to your account — including getting customers' opt-in before messaging them and honouring opt-out requests.
• No spam, unlawful, deceptive or harmful content.
• You are responsible for the messages you send and for having a lawful basis to process your customers' data.
• Meta may charge for conversations or messages. Those charges are set by Meta and are billed as agreed with you.

4. Fees

Fees are as stated in your quotation or plan. Unless agreed otherwise, invoices are payable within 14 days.

5. Availability

We work to keep our services available and secure, but they depend on third parties such as Meta and hosting providers and may sometimes be interrupted. We will tell you about planned maintenance where we can.

6. Intellectual property

You keep ownership of your content, data and brand assets. We keep ownership of our software, tools and know-how; delivered project work is licensed or transferred as set out in your agreement.

7. Liability

To the extent the law allows, we are not liable for indirect or consequential losses, and our total liability for any claim is limited to the fees you paid us for the service in the 12 months before the claim. Nothing here limits liability that cannot be limited by law.

8. Suspension and termination

You can stop using our services at any time and disconnect your WhatsApp account. We may suspend or end access if these terms or Meta's policies are seriously breached. On termination we delete your data as described in our Privacy Policy.

9. Governing law

These terms are governed by the laws of Sri Lanka, and the courts of Sri Lanka have jurisdiction.

10. Changes

We may update these terms and will change the effective date above when we do. Continued use after a change means you accept it.
